Terms and Conditions of Site Use

Welcome to the website of the Diverse Chamber of Commerce and Industry (“the Chamber,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, www.diversechamberofcommerce.org (the “Site”), including all content, features, membership services, and events offered through the Site.

By accessing or using the Site, you accept and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

 

1. Membership and Account Responsibilities

Eligibility: Chamber membership and certain Site features are available only to individuals and entities who can form legally binding contracts. By registering, you represent you are at least 18 years of age.

Account Security: You are responsible for maintaining the confidentiality of your account login information and for all activities under your account. You agree to notify us immediately of any unauthorized use.

Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

Membership Dues: Access to member-only resources is contingent upon payment of all applicable membership dues, which are governed by a separate Membership Agreement.

 

2. Intellectual Property Rights

Ownership: The Site and its entire contents, features, and functionality (including but not limited to logos, text, graphics, software, and chamber directories) are owned by the Chamber, its licensors, or other providers and are protected by copyright, trademark, and other intellectual property laws.

Limited License: You may access and use the Site for your personal or internal business use only. You must not reproduce, distribute, modify, or create derivative works of any content without our express prior written consent.

Member Listings & Directories:

Member-provided content in directories remains the intellectual property of the respective member. By listing your business, you grant the Chamber a license to display that information to promote Chamber membership.

 

3. Acceptable Use

You agree not to use the Site to:

Violate any applicable law or regulation.

Infringe upon the intellectual property or privacy rights of others.

Transmit any unlawful, harassing, defamatory, or otherwise objectionable material.

Use any device to scrape, spider, or launch any unauthorized automated means to access the Site.

Misrepresent your affiliation with any person or entity, including the Chamber.

Attempt to gain unauthorized access to any part of the Site or other members’ accounts.

 

4. Events, Content, and Third-Party Links

Event Registration: Registration for Chamber events through the Site constitutes an agreement to attend. Cancellation policies for each event are provided at registration.

 

5. Photo, Video, and Promotional Use

By attending any event, program, or mixer hosted or sponsored by the Diverse Chamber of Commerce and Industry, or by maintaining membership with the Chamber, you grant the Chamber a non-revocable, royalty-free license to use your likeness, image, voice, and business information (including company name and logo) as captured in photographs, video recordings, or audio recordings (“Media”) for the Chamber’s legitimate business purposes.

Scope of Use

Permitted Uses: Media may be used in promotional, educational, and informational materials, including but not limited to the Chamber’s website, social media channels, email newsletters, printed publications, advertisements, and annual reports.

Member Features: As a member, your business logo and information may be featured in member directories, spotlight articles, and other materials promoting Chamber membership.

User Acknowledgements

You understand and agree that you will not receive compensation for the use of such Media.

The Chamber is under no obligation to use any Media in which you appear.

This clause constitutes your release of the Chamber from any claims related to the use of Media as described herein.

Opt-Out

While attendance and membership constitute agreement to this clause, you may express a preference to not be photographed or filmed at a specific event by notifying Chamber staff at the event or not attending. For inquiries regarding the use of existing Media, please contact us in writing.

Your participation in Chamber activities signifies your acceptance of these terms regarding promotional use.

 

6. No Professional Advice: Content on the Site (e.g., articles, blogs, news) is for informational purposes only and does not constitute professional legal, financial, or business advice.

Third-Party Links: The Site may contain links to third-party websites. We are not responsible for the content or practices of these external sites. Links are provided for convenience only.

 

7. Disclaimers and Limitation of Liability

Site “As Is”: The Site and all content are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.

8. Business Relationships:
The Chamber does not endorse, guarantee, or warrant the products, services, or performance of any member listed in our directories or participating in our events. Business dealings are solely between you and other members.

 

9. Limitation of Liability:
To the fullest extent permitted by law, the Chamber shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site, including lost profits or business opportunities, even if advised of the possibility.

 

10. Indemnification

You agree to defend, indemnify, and hold harmless the Diverse Chamber of Commerce and Industry, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the Site, violation of these Terms, or infringement of any third-party rights.

 

11. Termination

We reserve the right to suspend or terminate your access to the Site and your membership account (if applicable) for any reason, including if we believe you have violated these Terms, without prior notice.

 

12. Modifications to Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately upon posting. Your continued use of the Site following the posting of revised Terms means you accept and agree to the changes.

 

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any legal action shall be brought exclusively in the state or federal courts located in Spokane, WA.

15. Miscellaneous

Severability: If any provision of these Terms is held to be invalid, the remaining provisions will remain in full force.

 

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Chamber regarding the Site.
